Information for Business Owners

A lot of people have approached me over the years about selling my business.  How is Sandpoint different?

We get it.  There are a lot of potential buyers of your business: private equity, strategic/competitor or passing the business to the next generation.  As an owner, you should consider all of them.  But Sandpoint is different for three main reasons: 1) Sandpoint's founder will personally transition into an active, full-time managerial role within your organization. He will grow and sustain the business over the long term; 2) Unlike other investors, Sandpoint does not have provisions forcing us to exit an investment within a certain time frame. We have the ability to invest for as long as necessary to achieve our shared objectives; 3) We focus on earnings growth to expand your company's value over the long term - timing the cycle or loading the business with a lot of debt like other investors.

Does Sandpoint share my values?

We understand that much success in businesses can be attributed to the history and values of the organization.  We are entirely focused on a smooth and successful transition of your life’s work.  Our goal is to grow the company's legacy and generate a positive impact on the broader community.  We pride ourselves on three characteristics:
 
1 - Integrity.  We are straight shooters.  Sometimes to a fault.  Whether it is keeping strict confidentiality or delivering on our commitment, we believe the best businesses are built with integrity.
 
2 - Long-term relationships. Our goal is to continue to build on the legacy of relationships that you have cultivated over the years in your field with employees, customers and suppliers.  But our most important relationship is with you, the owner.  
 
3 - Humble leadership.  We are sensitive to norms and values of your business culture.  We develop detailed post-acquisition operational plans with the owner's input to address leadership transition and plan growth strategy.  We view strategic planning as a critical element of our success.

Would Sandpoint be interested in acquiring my business?

What does a sale process look like and how long does it take?

Sandpoint is dedicated to making the sale process as seamless as possible.  Sales processes typically take 3 - 5 months.  There are three phases in our sales process:

1 - Initial meetings and diligence.  We want you to get comfortable with us as we learn about your business and develop our investment thesis. If there is a mutual fit, we will sign a confidentiality agreement and request information that will help us prepare a Term Sheet.

2 - Letter of Intent and confirmatory diligence.  Sandpoint analyzes the information gathered and develops a Term Sheet, which outlines a valuation and transaction structure.  If the Term Sheet meets expectations, we will request more detailed information and develop detailed post-acquisition operational plans.  We will work with lawyers to finalize the purchase and sale agreement. 

3 - Close.  We are focused on a seamless transition.  Your post-close role could range from a complete exit to part-time ongoing involvement (advisor/consultant role) to remaining onboard full-time as a senior member of the management team.
